Welcome to ZIG! These Terms and Conditions outline the rules and regulations for using ZIG.

Acceptance of Terms

By accessing or using ZIG you agree to be bound by these Terms and Conditions and our Privacy Policy. Make sure to read everything as we included here your legal rights and obligations.

About ZIG

ZIG is an AI-powered business adviser. Ask a question about taxes, accounting, legal, marketing, or product, and ZIG will surely provide you reliable information that will improve efficiency in handling and managing your business. ZIG is also designed to analyze your business transactions to help you save time and costs.

Intellectual Property

ZIG and all its contents, features, and functionality are owned by IOL Inc. (and/or the authorized intellectual property owner) and are protected by intellectual property laws. Copying, reproducing, distributing, modifying, or creating derivative works from our product without our prior written consent is strictly prohibited.

User Conduct

You agree to use ZIG only for lawful purposes and in a manner that does not infringe upon the rights of others. By using ZIG, you are restricted from performing any of the following:

Generate or promote illegal activities, hate speech, or harmful content
Publishing any material contained and/or generated in ZIG in any other media
Selling, sublicensing, and/or otherwise commercializing any material contained and/or generated by ZIG
Using ZIG in any way that is or may be damaging to ZIG
Using ZIG in any way that impacts user access to ZIG;
Using ZIG contrary to applicable laws and regulations, or in any way may cause harm to ZIG, or any person or business entity;
Other related activities.

User Content

Any content, data, or information you provide to ZIG remains your intellectual property. However, by providing such content, you grant ZIG / IOL Inc. a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, modify, publish, translate, and distribute your content for the purpose of providing and improving our services and that of the third-party service providers, for conducting research, or for analytics or statistics.

Aggregated Data and Data Sharing

Personal Data is de-identified, aggregated, or anonymized by ZIG so that it no longer identifies individuals before it’s made available to third parties. We and third parties use this information without trying to re-identify individuals, for the purpose of improving our services, conducting research, or for analytics or statistics.

Maintenance, downtime, and data loss

To ensure security and optimum use of ZIG, regular maintenance and updating shall be made anytime as determined by the developers to improve our services. Users may also have occasional access issues and may experience data loss. Whatever the cause of any downtime, access issues, or data loss, your only recourse is to discontinue using our services.

Limitation of Liability

IOL Inc. shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from the use of ZIG, including but not limited to damages for loss of profits, data, or other intangible losses.

Along with the use of our services, you may use data, services, and apps from other companies (third-party products). Any third party providing a third-party product is a provider and is independent of IOL Inc., as such they may charge you fees independent from your use of ZIG or from what IOL Inc. may charge you in case of subscription. Third-party products are subject to terms and conditions and privacy notices set by their providers. These include important things like pricing, refund policies, and how the provider will use the data that you make available to them. Please read, understand, and make sure that you agree with their terms and conditions before you connect to them. The descriptions of third-party products that IOL Inc. publishes, and any associated links, have been provided to us by the providers. While IOL Inc. makes reasonable efforts to check the accuracy of the descriptions, the providers are solely responsible for any representations contained in those descriptions. IOL Inc. does not endorse or assume any responsibility for third-party products. By choosing to connect to third-party products, IOL Inc. will use your personal data for that connection. While we receive data as a result of that connection, we will use that data in line with our data privacy notice and these terms.

In no event shall IOL Inc. be responsible for the negligence or carelessness of the User in keeping personal and sensitive personal data, as well as passwords and/or usernames.

Termination

We reserve the right to terminate or suspend your access to ZIG at any time and for any reason, including but not limited to violations of these Terms and Conditions. Discontinuance of use shall not prejudice nor affect the accrued rights or claims and liabilities of the parties.

Representation and Warranties

ZIG is provided "as is," with all faults, and IOL Inc. expresses no representations or warranties, of any kind related to this System or the materials contained therein. The User represents and warrants that any information delivered to ZIG is correct. IOL Inc. shall not be responsible for verifying such information. The quality and quantity of information provided by ZIG shall depend on several factors (i.e. how the user asked question; how the User would want ZIG to analyze the data; limitation on the database of ZIG; etc.) ZIG may make automated decisions based on the data you provide and system algorithms/models.

Also, nothing contained in ZIG shall be interpreted as advising the User. It is best to consult experts, especially for legal matters. IOL Inc. shall not answer any liability that may arise as a result of using the information provided by ZIG to the User.

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of the Philippines.

Changes to Terms and Conditions

We reserve the right to modify or update these Terms and Conditions at any time. Your continued use of ZIG after any changes constitutes your acceptance of the new Terms and Conditions.
